1. Eligibility to Use BulkVyapar

BulkVyapar is intended primarily for lawful business and commercial use. A user creating an account must be at least 18 years of age and legally capable of entering into a binding agreement.

Where an account or listing is created on behalf of a company, proprietorship, partnership, LLP or other business organisation, the person submitting the information represents that he or she is authorised to act on behalf of that business.

You must not create an account or submit business information using another person's or business's identity without authority.

2. Nature and Role of BulkVyapar

BulkVyapar is an online B2B business-listing, product-discovery, supplier-discovery and inquiry-facilitation platform. The platform may allow sellers to create business profiles and product listings and may allow buyers to search, discover and contact relevant businesses.

Unless expressly stated otherwise for a specific service, BulkVyapar provides technology and platform services intended to facilitate business discovery and communication.

• BulkVyapar is not the buyer or seller of products displayed by third-party businesses.
• BulkVyapar does not manufacture, possess or inspect products merely because they are listed on the platform.
• BulkVyapar does not become a party to a contract entered into between a buyer and seller.
• BulkVyapar does not act as an escrow provider or guarantor for buyer-seller transactions.
• BulkVyapar does not guarantee payment by a buyer or delivery or performance by a seller.

3. Independent Buyer-Seller Transactions

If a buyer and seller connect through BulkVyapar and subsequently decide to conduct business, their commercial relationship is independent of BulkVyapar.

The parties themselves are responsible for agreeing on product specifications, pricing, taxes, quotations, purchase orders, payment terms, samples, transportation, delivery, insurance, warranties, returns, credit arrangements and dispute resolution.

BulkVyapar does not presently collect, hold, route or settle payments made by buyers to sellers for goods or services. A buyer-seller transaction does not become a BulkVyapar transaction merely because the parties first discovered or contacted each other through the platform.

4. Payments Made to BulkVyapar

BulkVyapar may separately charge sellers or other users for membership, listing, website, promotional or other platform services. Such payments are payments to BulkVyapar for BulkVyapar's own services and are separate from payments between buyers and sellers.

BulkVyapar currently uses Razorpay as a third-party payment service provider for applicable platform payments. The use of Razorpay does not mean that BulkVyapar processes, guarantees or acts as escrow for independent buyer-seller commercial transactions.

Payment processing may also be subject to the applicable payment provider's terms and policies.

5. Seller Membership Term and Renewal

Where a paid seller membership is purchased for an annual term, the membership will ordinarily remain available for 12 months from activation unless a different period is clearly displayed at the time of purchase.

BulkVyapar memberships are presently based on a one-time payment for the selected term. There is no automatic renewal and no automatic debit for the following year.

At the end of the membership term, the seller may voluntarily decide whether to purchase another membership or renewal if such option is available. Expiry of a membership does not authorise BulkVyapar to automatically charge the seller for another year.

Refund eligibility is governed separately by the Refund, Cancellation & Renewal Policy as published by BulkVyapar and applicable law.

6. No Guarantee of Leads, Sales or Business Results

BulkVyapar provides platform functionality, listings, discovery tools and opportunities for users to communicate. BulkVyapar does not guarantee any specific number or quality of inquiries, leads, buyer responses, quotations, confirmed orders, conversions, sales, revenue, profit or other commercial outcomes.

BulkVyapar does not guarantee that a business or product will obtain any particular ranking, indexing, visibility or position on Google, another search engine, an AI platform or another third-party service.

Statements describing platform features or potential benefits should not be interpreted as a promise of a particular commercial result.

7. Seller Information and Seller Responsibility

Sellers are responsible for ensuring that information submitted to BulkVyapar is accurate, current, lawful and not misleading. This includes information concerning the business, ownership, GSTIN, address, products, product specifications, images, pricing, minimum order quantity, delivery capability, licences, certifications and other commercial claims.

A seller must promptly correct information that becomes inaccurate or outdated. The seller remains responsible for factual statements contained in its listing even where BulkVyapar assists with formatting, descriptions, categorisation, keywords or other automated presentation.

BulkVyapar may request additional information or clarification where reasonably necessary for verification, compliance, platform security or complaint investigation.

8. Manual GST Verification and Listing Review

BulkVyapar currently performs a limited manual GST verification process before a seller listing is made live on the marketplace. After a seller completes the applicable onboarding and payment process, the listing is not automatically published as live.

Before activation, BulkVyapar may manually review the GSTIN and related business details submitted by the seller using the relevant Government GST search facility or another appropriate official or public source available for GST verification.

As part of this process, BulkVyapar may check whether the submitted GSTIN appears valid, whether the GST registration appears active at the time of review, whether the business, legal or trade name available through the GST record reasonably corresponds with the business details submitted by the seller, and whether the submitted information is sufficiently consistent for marketplace listing purposes.

If the GSTIN is invalid, inactive, cannot reasonably be matched with the submitted business information, or additional clarification is required, BulkVyapar may keep the listing pending and request corrected or updated GST information before the listing is activated.

BulkVyapar's GST verification is limited in scope. Unless specifically stated otherwise for a separate service, BulkVyapar does not conduct a physical visit to the seller's office, factory, warehouse, shop or registered address as part of this verification.

• GST verification does not include a physical inspection of seller premises.
• GST verification does not audit the seller's accounts, financial condition or creditworthiness.
• GST verification does not verify production capacity, stock, machinery or ownership of premises.
• GST verification does not inspect or certify every product, licence, certificate or representation.
• GST verification does not guarantee future conduct, payment, delivery, fulfilment or absence of fraud.

9. Meaning of "Verified Business"

Where BulkVyapar displays a "Verified Business", GST-verified, verification-status or similar indicator, it means only that specified seller information, including GST-related information where applicable, was manually reviewed according to BulkVyapar's then-current verification process before or around the time of listing approval.

A verification indicator is not a government certification, financial audit, insurance, product-quality certification, guarantee of manufacturing capacity, guarantee of delivery or payment performance, or guarantee that future fraud or misconduct cannot occur.

GST status and business information may change after verification. Sellers are responsible for keeping their information current. BulkVyapar may re-check, suspend or remove a verification status or listing where information becomes invalid, inconsistent, inactive or otherwise reasonably subject to review.

10. Buyer Verification

BulkVyapar does not presently require ordinary buyers submitting marketplace inquiries to undergo document-based identity verification merely for submitting an inquiry.

Accordingly, an inquiry received through BulkVyapar must not be treated by a seller as a verified purchase order, guaranteed buyer, guaranteed transaction, confirmed payment, approved credit customer or binding commercial commitment.

Sellers should independently verify prospective buyers before extending credit, dispatching goods, accepting unusual payment arrangements or entering into material transactions.

11. User Due Diligence

Every user is responsible for independently assessing another user before entering into a transaction. Buyers should, where relevant, independently verify seller identity, GST details, licences, product samples, specifications, commercial capacity, bank details and contractual terms.

Sellers should independently verify the buyer's identity, purchasing authority, order authenticity, payment arrangement and creditworthiness where relevant. Users should exercise particular caution before transferring advance payments or disclosing sensitive commercial information.

A BulkVyapar verification indicator should be treated as a limited platform verification signal and not as a substitute for a buyer's or seller's own commercial, legal, financial or technical due diligence.

12. Buyer Inquiries and Sharing with Sellers

A buyer may choose to submit an inquiry to a specific seller or business through BulkVyapar. For processing that inquiry, BulkVyapar may transmit information provided by the buyer to the relevant seller, including where applicable the buyer's name, mobile number, email address, requested quantity, requirement or message and other inquiry details.

Submitting an inquiry authorises BulkVyapar to transmit the information reasonably necessary for that seller to respond to the inquiry. This sharing is part of the requested marketplace service and does not constitute the sale of buyer personal information by BulkVyapar.

Detailed handling of personal data is governed by the Privacy Policy and Data Protection Notice as published by BulkVyapar.

13. Seller Use of Buyer Inquiry Data

A seller receiving buyer information through BulkVyapar must use that information responsibly and lawfully. Buyer information received through an inquiry must primarily be used for responding to or managing the relevant business requirement and for another purpose only where permitted by applicable law.

• A seller must not unlawfully sell buyer personal data.
• A seller must not publish private buyer information without authority.
• A seller must not create unauthorised personal-data databases from BulkVyapar inquiries.
• A seller must not use inquiry data for unlawful spam, impersonation, harassment or fraud.
• A seller may become independently responsible under applicable law for its subsequent use of personal information received through BulkVyapar.

14. Public and Private Seller Contact Information

Providing an email address or mobile number to BulkVyapar for account creation, security, authentication, verification or platform communications does not by itself mean that such information will automatically be publicly displayed on the BulkVyapar marketplace.

BulkVyapar marketplace listings do not presently make seller account contact information public by default merely because BulkVyapar possesses it.

Where a seller purchases or uses a separate website, microsite or other service that permits public contact display, the seller may choose which permitted contact details it wishes to publish. The seller is responsible for ensuring that it has authority to publicly display any contact details submitted for publication.

15. Account Credentials and Security

Users are responsible for maintaining the confidentiality of their login credentials and must use their own valid email address and mobile number where required.

BulkVyapar may use email, mobile number, OTP or other available mechanisms for account verification, password recovery, security alerts and service-related communications.

BulkVyapar does not require access to a user's Gmail inbox, Google Drive, Google Contacts or other private Google account content merely because the user supplies a Gmail or other email address.

A user must promptly notify BulkVyapar if they reasonably believe their account has been accessed without authorisation.

16. Service and Transactional Communications

By using an account or requesting platform services, users acknowledge that BulkVyapar may send communications reasonably necessary to operate the requested service. These may include account verification, OTP or password recovery, security information, inquiry notifications, membership information, support responses and important policy or service notices.

Promotional or marketing communications are separate and may be managed according to applicable law and the user's communication preferences. Where an unsubscribe mechanism is provided for promotional emails, users may opt out of such marketing without disabling essential account, inquiry or security communications.

17. AI-Assisted and Automated Features

BulkVyapar may use artificial intelligence, algorithms or automated systems to assist with search, supplier matching, business categorisation, product categorisation, keyword generation, summaries, descriptions, recommendations and other discovery features.

AI-assisted output may contain errors or incomplete information and should not be treated as legal, accounting, financial, technical or professional certification, or as a guarantee that a buyer or seller is suitable for a particular transaction.

Where AI-assisted content is based on seller-provided information, the seller remains responsible for reviewing and correcting factual business or product information associated with its listing. BulkVyapar does not guarantee rankings or business outcomes produced by AI-assisted features.

18. Prohibited Conduct

Users must not use BulkVyapar for unlawful, fraudulent, deceptive or abusive activity. BulkVyapar may investigate suspected violations and take appropriate platform action.

• Do not provide false identity or business information or impersonate another person or company.
• Do not publish counterfeit, infringing, unlawful or unauthorised goods, services or content.
• Do not make false certification, licence, authorisation or affiliation claims.
• Do not upload malicious software, attempt unauthorised access or manipulate platform systems.
• Do not submit fraudulent or fake inquiries, unlawfully scrape personal data or misuse buyer leads.
• Do not use BulkVyapar to facilitate fraud or another violation of applicable law.

19. User-Generated Content and Intellectual Property

Users retain ownership of content that they lawfully own. By submitting business information, logos, product images, descriptions and other material intended for publication or platform processing, the user grants BulkVyapar a non-exclusive, royalty-free licence to host, reproduce, resize, format, organise, display and make such content available as reasonably necessary for providing and promoting the BulkVyapar platform and the user's listing.

The user represents that it has sufficient rights and permissions to submit the content. Users must not upload material that infringes another person's copyright, trademark, privacy, publicity or other rights.

BulkVyapar branding, platform software, design, proprietary content and intellectual property owned by BulkVyapar remain the property of Bulkvyapar Network Pvt Ltd or the relevant rights holder.

20. Third-Party Content and Links

Business listings, product descriptions, images and commercial statements supplied by sellers constitute third-party information to the extent they originate from those sellers. BulkVyapar may review, organise or moderate such content but cannot guarantee that all third-party information will remain complete or accurate at all times.

The platform may contain links to external websites or services. BulkVyapar does not control third-party websites merely because a link is available through the platform and is not responsible for their independent content, availability or practices.

21. Moderation, Suspension and Removal

BulkVyapar may review, restrict, suspend, reject, remove or disable access to content, listings or accounts where reasonably necessary for violation of these Terms or another policy, suspected fraud or impersonation, unlawful content, inaccurate verification information, intellectual-property complaints, security risks, abuse of buyer data, non-payment for applicable platform services, compliance with lawful orders, or protection of users and the platform.

Where appropriate, BulkVyapar may seek clarification from the affected user. Temporary restriction during an investigation should not be interpreted as a final determination of wrongdoing.

22. Complaints and Grievances

Users and affected persons may report concerns relating to platform content, listings, personal information or other applicable platform matters through BulkVyapar's grievance mechanism.

BulkVyapar will handle grievances in accordance with applicable law and the Grievance Redressal & Takedown Policy as published by the platform.

23. No Warranty of Independent Transactions

BulkVyapar does not warrant that any independent buyer-seller transaction will be successful, profitable, safe or dispute-free.

• BulkVyapar does not guarantee payment by a buyer.
• BulkVyapar does not guarantee seller delivery or fulfilment.
• BulkVyapar does not guarantee product quality or conformity.
• BulkVyapar does not guarantee buyer creditworthiness.
• BulkVyapar does not guarantee authenticity of every third-party representation.
• Users remain responsible for obtaining appropriate invoices, agreements, purchase orders, licences, insurance, inspection reports or professional advice where relevant.

24. Fraud and Independent Payments

Users must exercise caution before sending money or goods to another user. Where a buyer independently pays a seller, or a seller independently supplies goods, extends credit or refunds a buyer, the relevant financial relationship exists between those parties.

To the maximum extent permitted by applicable law, BulkVyapar will not be responsible merely because a fraudulent payment, non-payment or other misconduct occurs in an independent buyer-seller transaction after users connected through the platform.

Nothing in these Terms excludes a responsibility that applicable law does not permit BulkVyapar to exclude.

25. Limitation of Liability

To the maximum extent permitted by applicable law, BulkVyapar shall not be liable for losses arising solely from an independent transaction between users, statements or representations made by another user, non-payment or delayed payment by another party, product quality or delivery failure by a seller, buyer credit default, or a user's decision to rely on third-party listing information without appropriate due diligence.

BulkVyapar shall not be liable for indirect, incidental, special or consequential commercial losses, including expected profits, expected orders, anticipated business opportunities or lost commercial expectations, where exclusion of such liability is permitted by law.

For claims arising directly from a paid BulkVyapar service, and excluding liabilities which cannot lawfully be limited, BulkVyapar's aggregate contractual liability shall not exceed the amount actually paid by the affected user to BulkVyapar for the specific service giving rise to the claim during the relevant service period.

Nothing in these Terms excludes or restricts liability for BulkVyapar's own fraud, wilful misconduct or any other liability which applicable law prohibits from being excluded or limited.

26. Indemnity

To the extent permitted by applicable law, a user shall be responsible for losses, claims, proceedings or reasonable costs suffered by BulkVyapar arising from that user's fraudulent conduct, unlawful listing, unauthorised use of another person's data, intellectual-property infringement, knowingly false representation, misuse of buyer inquiry data, violation of these Terms or violation of applicable law.

This clause does not require a user to indemnify BulkVyapar for BulkVyapar's own unlawful conduct.

27. Privacy and Personal Data

BulkVyapar processes personal information in accordance with its Privacy Policy & Data Protection Notice and applicable law. The Privacy Policy separately explains what personal data is collected, why it is collected, when buyer inquiry information is transmitted to sellers, payment and service-provider processing, account deletion, data retention, security, marketing preferences and available privacy or grievance mechanisms.

Legal-document download requests may require a name, mobile number and captcha. For security, delivery and audit evidence, BulkVyapar may record the document version, request time, client IP address and related technical information. This processing will be described in the Privacy Policy.

28. Account Deletion

Users may request deletion of their account through the functionality provided by BulkVyapar or the published privacy or grievance channel. Account deletion may terminate access and may result in removal or deactivation of public listings associated with the account.

Deletion does not necessarily require immediate deletion of every record where continued retention is reasonably required or permitted for payment or accounting records, legal obligations, security logs, fraud investigation, complaint history, dispute evidence or enforcement of legal rights.

Deletion of a BulkVyapar listing cannot guarantee immediate deletion of copies already cached or indexed independently by third-party search engines or services.

29. Refunds and Cancellation of Paid Platform Services

Paid platform services, including annual membership, are subject to the Refund, Cancellation & Renewal Policy displayed by BulkVyapar. Unless required otherwise by applicable law or expressly stated in that policy, activation of a digital or platform service may make the applicable fee non-refundable.

Voluntary account deletion or cancellation during an active term does not by itself create a right to a pro-rata refund. Duplicate charges, confirmed payment-processing errors or situations where applicable law requires a refund will be handled according to the Refund Policy and applicable law.

30. Changes to Services

BulkVyapar may improve, modify, add or discontinue platform functionality from time to time. BulkVyapar may change pricing or membership plans prospectively.

A change in future pricing does not retroactively change the amount already paid for an existing purchased term unless required by law or expressly agreed by the parties.

31. Changes to These Terms

BulkVyapar may update these Terms to reflect changes in services, security, business practices or applicable legal requirements. The updated version will display a revised effective or last-updated date.

Where required or reasonably appropriate, material changes may also be communicated through the website, account or registered contact information. Changes should operate prospectively subject to applicable law and should not retrospectively remove accrued mandatory legal rights.

32. Force Majeure

BulkVyapar will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, major internet or telecommunications failures, government restrictions, cyberattacks not caused by BulkVyapar's wilful misconduct, third-party infrastructure failures, strikes or other comparable events.

This clause does not excuse obligations that applicable law requires regardless of such circumstances.

33. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to any statutory remedy or forum that cannot legally be excluded, disputes relating to these Terms or BulkVyapar's own services shall be subject to the jurisdiction of competent courts at Gautam Buddha Nagar, Uttar Pradesh.

Nothing in this clause removes any mandatory remedy available to a person under applicable Indian law.

34. Severability and No Waiver

If any provision of these Terms is held invalid or unenforceable by a competent authority, the remaining provisions will continue to apply to the extent legally possible. The invalid provision should be interpreted or restricted only to the minimum extent necessary.

A failure by BulkVyapar to enforce a provision on one occasion does not automatically constitute a permanent waiver of that provision or any other right.

35. Entire Agreement and Contact

These Terms, together with the Privacy Policy, Marketplace Disclaimer, Refund, Cancellation & Renewal Policy, Seller Verification Policy, Acceptable Use & Prohibited Listings Policy and any service-specific terms expressly incorporated at checkout, form the applicable platform agreement concerning use of BulkVyapar.
